By participating in the KidEasy Influencer Affiliate Program, operated by GLOCOMMERCE INC, you agree to the following terms and conditions:
1. Eligibility and Participation
1.1 The KidEasy Influencer Affiliate Program is an invitation-only program. Only selected influencers will be eligible to participate. 1.2 Participation in this program does not create any form of ownership, exclusivity, or rights over KidEasy products, trademarks, or intellectual property. Affiliates will have access only to promotional materials provided by GLOCOMMERCE INC.
2. Affiliate Links and Commissions
2.1 As an influencer, you will receive a unique affiliate link that you can share on your social media platforms, including but not limited to YouTube, Instagram, Facebook, Pinterest, and Snapchat. 2.2 Any sales generated through your affiliate link will result in a commission, the percentage of which will be agreed upon in writing before participation in the program. 2.3 Commissions will only be paid on sales that are successfully completed, excluding any canceled, returned, or fraudulent orders.
3. Payouts
3.1 Commissions will be paid on a monthly basis, provided that the sales have been validated and are in line with GLOCOMMERCE INC’s tracking records. 3.2 Payment will be made to the account details provided by the affiliate. It is the affiliate’s responsibility to ensure the accuracy of these details.
4. Termination of Participation
4.1 GLOCOMMERCE INC reserves the right, at its sole discretion, to terminate the participation of any affiliate in the program for any reason, with or without cause, after paying the commission due for validated sales. 4.2 Upon termination, all use of the KidEasy brand, products, trademarks, and affiliate links must cease immediately. Any violation may result in legal action.
5. Intellectual Property
5.1 All trademarks, logos, and content provided to affiliates remain the sole property of GLOCOMMERCE INC. Affiliates are granted a limited, non-exclusive license to use the provided materials solely for the purpose of promoting KidEasy products during their participation in the program. 5.2 Affiliates may not modify, alter, or misuse any KidEasy materials in any way that could damage or misrepresent the brand.
6. Liability
6.1 GLOCOMMERCE INC shall not be liable for any damages, losses, or expenses incurred by affiliates during participation in this program, including but not limited to, business losses, reputational damage, or third-party claims. 6.2 Affiliates are responsible for complying with all applicable laws, regulations, and guidelines related to advertising and promoting products online, including disclosure of affiliate relationships.
7. Compliance and Conduct
7.1 Affiliates agree to act in good faith and uphold the reputation of the KidEasy brand. Any unethical or dishonest behavior, including but not limited to spamming, fake endorsements, or misleading content, will result in immediate termination. 7.2 GLOCOMMERCE INC reserves the right to audit affiliate activities to ensure compliance with these terms and any applicable legal requirements.
8. Data Protection
8.1 Affiliates must adhere to all data protection laws and regulations when handling customer information. Any breach of data protection laws will result in immediate removal from the program and potential legal action.
9. Modification of Terms
9.1 GLOCOMMERCE INC reserves the right to modify these terms and conditions at any time. Affiliates will be notified of any changes via email, and continued participation in the program will constitute acceptance of the modified terms.
10. Governing Law
10.1 These Terms and Conditions shall be governed by and construed in accordance with the laws of CANADA.
11. Consent and Risk Acknowledgment
11.1 By participating in the KidEasy Influencer Affiliate Program, the affiliate acknowledges and agrees that GLOCOMMERCE INC will not be held liable for any legal claims, damages, losses, or expenses arising from the affiliate’s participation in the program, including but not limited to issues related to product claims, content creation, or any breach of applicable laws and regulations. 11.2 The affiliate agrees to indemnify and hold harmless GLOCOMMERCE INC, its directors, officers, employees, and agents from any claims, damages, liabilities, or expenses arising from or related to the affiliate’s actions, content, or promotions conducted as part of the affiliate program. 11.3 The affiliate further consents to follow all relevant laws, regulations, and guidelines (including but not limited to advertising standards and disclosure requirements) when promoting KidEasy products and acknowledges that failure to do so may result in termination from the program without liability to GLOCOMMERCE INC.
